Memorii Limited (hereinafter referred to as “Memorii,” “we,” “us,” or “our”) operates a platform connecting customers with professional photographers to help you capture and preserve precious moments (hereinafter referred to as the “Service”). These Terms of Service (hereinafter referred to as the “Terms”) govern your use of the Memorii website (  ) and related services. By accessing or using the Service, you (hereinafter referred to as the “Customer,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully. We may update these Terms from time to time, and your continued use of the Service signifies acceptance of the latest version. If you do not agree with these Terms, please refrain from using the Service.

Article 1. Definitions
  1. “Terms” refers to these Terms of Service and our Privacy Policy, which together constitute the agreement between you and Memorii.

  2. “Privacy Policy” refers to Memorii’s policy on handling personal information.

  3. “Customer” refers to any individual, corporation, or other entity that agrees to these Terms and uses the Service.

  4. “Photographer” refers to a professional photographer registered with Memorii to provide photography services.

  5. “Photo Data” refers to photographs or related content captured and delivered by the Photographer through the Service.

  6. “Review” refers to opinions or feedback submitted by Customers regarding the Service, including the Photographer’s service quality and satisfaction level.

Article 2. Agreement to Terms
  1. These Terms apply to all activities related to your use of the Service, including but not limited to website access, booking a shoot, and receiving photos.

  2. You are deemed to have read and agreed to these Terms upon commencing use of the Service (e.g., registering an account or submitting a booking request).

  3. If you use the Service on behalf of another party (e.g., a company or group), you warrant that you have the authority to bind that entity to these Terms.

Article 3. Privacy and Personal Information
  1. We consider the protection of personal information a key responsibility and comply with applicable data protection laws and regulations.

  2. Your personal information will be processed in accordance with our Privacy Policy.

  3. You must provide accurate contact details (e.g., email, phone number). Memorii is not liable for consequences arising from inaccurate information.

Article 4. Use of the Service
  1. Service Description

    1. Through the Memorii platform, you can book photography services at a location agreed upon with the Photographer.

    2. Post-shoot, the Photographer will review, edit, and select photos, delivering them via a method designated by Memorii (e.g., a website download link).

    3. The Service is limited to shooting and basic editing; it does not include photo compositing or advanced processing.

  2. Account Registration

    1. To use the Service, you must create a Memorii account with true, accurate, and complete personal information.

    2. You are responsible for safeguarding your account. Memorii is not liable for losses due to poor account management.

  3. Shoot Booking

    1. You may select a Photographer, shooting style, package, and date via the website, with the booking date falling within 60 days from the request date.

    2. You must specify a shooting location and secure any necessary permits; Memorii bears no responsibility for obtaining such permissions.

    3. Bookings are effective upon full payment and Photographer confirmation.

    4. You must provide a valid email address and contact details to receive notifications. Losses due to failure to receive notifications are your responsibility.

    5. If you fail to respond to the Photographer or Memorii within 3 days after booking confirmation, it may be deemed an automatic cancellation.

  4. Fees and Payment

    1. Service fees are payable at booking via the platform’s designated payment method, with amounts based on the selected package.

    2. Additional costs, including but not limited to your transportation, wardrobe, props, entrance fees (including those for the Photographer), and shooting permits, are your responsibility.

    3. If payment fails, Memorii does not guarantee retention of your booked slot.

  5. Photo Selection and Delivery

    1. For packages allowing photo selection, you must choose photos within 7 days of receiving the Photographer’s samples. If not selected within this period, the Photographer will choose on your behalf, and no subsequent changes are permitted.

    2. You have 4 weeks from the delivery date to download them; Memorii is not obligated to retain data beyond this period.

    3. If photos have technical defects (e.g., file corruption), you may contact us within 2 weeks of delivery for repair or resending. Other complaints (e.g., dissatisfaction with shoot results) are not accepted.

  6. Package Changes and Late Arrival

    1. Once confirmed, packages or shoot dates cannot be changed; you must cancel and rebook, subject to Article 5’s cancellation policy.

    2. If you arrive late, the shoot will proceed within the remaining scheduled time, with no extensions. A delay exceeding 30 minutes without notice, or 60 minutes, is deemed a same-day cancellation.

Article 5. Cancellation and Rescheduling Policy
  1. Cancellation

    1. Cancellations made at least 72 hours before the scheduled shoot: No cancellation fee will be charged.

    2. Made within 72 hours of the scheduled shoot or in case of no-shows: A cancellation fee of 100% of the total fee will be charged. This fee is non-refundable.

    3. Same-day cancellations due to no-show or lateness exceeding 60 minutes are treated as non-refundable.

  2. No cancellation fees will apply under the following conditions:

    1. Sudden severe weather or natural disasters (determined by the Photographer’s judgment)

    2. Photographer is unavailable and no substitute can be arranged

  3. Rescheduling Policy
    Customers may reschedule a confirmed booking under the following conditions:

    1. Rescheduling is subject to the Photographer’s availability and consent

    2. The new shoot date must take place within 180 days from the original booking date

  4. Rescheduling fees:

    1. Rescheduling on the day of the shoot: Treated as a cancellation (see Section 1.b)

    2. Rescheduling made within 72 hours of the scheduled shoot: 50% of the total fee

    3. Rescheduling at least 72 hours before the scheduled shoot: Free

  5. No rescheduling fees apply when:

    1. The shoot must be rescheduled due to inclement weather

    2. The Photographer is unable to perform and a replacement must be arranged

  6. Important Notes:
    If a customer submits multiple rescheduling requests, or fails to confirm a new date within 3 days of the original rescheduling request, the platform reserves the right to cancel the booking and apply the applicable cancellation fee.

  7. Refund Process

    1. Refunds (after deducting cancellation fees and payment processing costs) will be issued to the original payment method within 30 days of cancellation confirmation.

    2. If refunds fail due to incorrect information (e.g., expired credit card, closed account), you must update details within 180 days of cancellation; otherwise, no refund will be provided.

    3. Post-shoot, if all Photo Data is lost due to the Photographer’s willful act or negligence, you may request a full refund within the delivery period.

Article 6. Intellectual Property and Photo Usage
  1. Ownership

    1. All rights to Photo Data (including copyrights and other intellectual property rights) belong to Memorii and/or the Photographer.

    2. You are granted an exclusive, non-commercial license to use the delivered photos.

  2. Usage Permission

    1. With your prior written consent, Memorii and the Photographer may use Photo Data for promotional purposes (e.g., website displays, advertisements).

    2. You may revoke consent at any time, and we will promptly cease use, though copies beyond our control (e.g., third-party reposts) cannot be guaranteed removed, and we bear no liability.

    3. If photos include third-party likenesses, you must secure their consent; Memorii is not liable for third-party non-consent.

  3. Usage Restrictions

    1. Without permission, you may not reproduce, resell, or use Service content (e.g., photos, reviews, website materials) for purposes beyond personal use.

    2. Unauthorized use entitles us to claim compensation equivalent to the profits derived from such use.

Article 7. Customer Reviews
  1. Review Guidelines
    You may submit reviews about the Service and Photographer, but they must not contain:

    • Content infringing others’ rights (e.g., copyright, portrait rights, privacy).

    • Advertisements, commercial promotions, or false information.

    • Defamation, threats, discrimination, or illegal content.

    • Information unrelated to the Service or external links.

  2. Management Rights
    We may review submissions and, without prior notice, remove or hide content violating these guidelines, with no liability.

Article 8. Prohibited Actions
  1. You must not:

    1. Use the Service for illegal, religious, or political purposes.

    2. Copy, repost, or resell Service content (e.g., photos, text) without permission.

    3. Disrupt Service operations (e.g., malicious bookings, payment refusal).

    4. Disregard reasonable Photographer instructions or location rules.

    5. Make excessive demands on Photographers (e.g., beyond package scope).

    6. Engage in other actions deemed inappropriate by us.

  2. Violations may result in:

    1. Suspension or termination of your Service access.

    2. Claims for damages, including legal fees.

Article 9. Limitation of Liability
  1. No Warranty

    1. The Service is provided “as is,” with no guarantees of uninterrupted, error-free operation or meeting specific expectations.

  2. Exclusion of Liability

    1. Unless caused by our willful misconduct or gross negligence, Memorii is not liable for:

      1. Service interruptions, data loss, or equipment damage.

      2. Losses from third-party actions (e.g., location restrictions).

      3. Subjective dissatisfaction with photo outcomes.

    2. Liability, if any, is limited to direct, ordinary damages up to the Service fee paid.

  3. Force Majeure

    We are not liable for Service unavailability due to natural disasters, wars, legal changes, or other uncontrollable events.

Article 10. Service Termination and Suspension
  1. We may suspend or terminate the Service due to:

    1. Your breach of these Terms.

    2. System maintenance, failures, or legal requirements.

    3. Other operational or technical needs.

  2. Post-termination, provisions on restrictions, indemnities, and liabilities remain in effect.

Article 11. Governing Law and Dispute Resolution
  1. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“Hong Kong”).

  2. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, and you consent to such jurisdiction.

Article 12. Changes to Terms
  1. We may amend these Terms by posting updates on our website. Continued use after changes constitutes your acceptance.

  2. If you disagree with changes, please cease using the Service. We are not liable for losses due to amendments.
